The project consists on acquiring the entire Villa, with the aim of carrying out its integral rehabilitation with first class qualities, within a set period of time established in the business plan, and with the final purpose of selling it to a third party.
The property is located in the prestigious Altavista residential complex in San Pedro de Alcántara, between Guadalmina Alta and the downtown area. It is just a few metres away from shops, schools, the health centre and El Bulevar, as well as having the best possible access to the shoreline motorway.
With a funding target of € 1,067,610 (earmarked for the purchase of the Villa and subsequent integral rehabilitation) you can participate in an "Equity" operation with an estimated sales target, in a conservative scenario, of € 1,300,000, and which will generate a profit on its sale (capital gain). The term of the transaction is estimated in 12 months. The total estimated profit after tax is 16.84 %.
This is a project with direct participation of the Sponsor (developer) Villa Mimosas SL. Specifically, its contribution to equity is €98,610. There is a mortgage loan for an amount of € 369,000, which together with the € 600,000 from wecity investors makes a total of € 1,067,610. Villa Mimosas SL's role will consist on developing and executing the project in accordance with the deadlines established in the business plan, managing the project and, in general, ensuring the interests of the shareholders.

VillaVista Developments SL, as project manager and sole administrator of Villa Mimosas SL (Developer), has more than 10 years of experience in new construction and integral rehabilitation of villas in the Marbella area.
Villa Mimosas SL is leading the Villa Las Mimosas project with an equity contribution of 98,610 (14% of the capital). There are no management fees in the business plan, so the return of wecity investors (16.84%) is preferential, which brings great comfort to the operation.

Benita is a German national fluent in Spanish, English and French. After graduating from the European Business School in London, she started her real estate career almost 30 years ago. She has worked for internationally renowned investment funds and has extensive experience in investment markets in Europe and Mexico. After moving to Marbella in 2006, she started renovating properties in her spare time until she took the business to a larger scale, making it her sole profession and occupying all of her time. Any investment is subject to possible dilution in the future. Dilution occurs when a company creates new shares or participations in a capital increase, which implies that the partners who do not subscribe these new shares or participations will see their participation in the company reduced, leading to a loss of the percentage they previously held in the capital.
The investment does not guarantee that the company financed through the acquisition of shares or participations will obtain dividends or that it will redistribute them among its partners.

61.1.c) "Notice that the participatory financing platform (wecity) does not hold the status of an investment services company or a credit institution and that it is not a member of any investment guarantee fund or deposit guarantee fund.”
61.1.d) " Notice that participatory financing projects are not subject to authorization or supervision by the National Securities Market Commission or the Bank of Spain and that the information provided by the developer has not been reviewed by them, nor, in the case of the issuance of securities, does it constitute a brochure approved by the National Securities Market Commission."
61.1.g) "The procedures and means through which capital is invested in the projects, whether through the subscription of shares, participations or other securities representing capital and debentures or through participation in the granting of loans."
The participation of wecity investors in Villa Mimosas S.L. will be carried out by means of a capital increase by subscribing the percentage of shares linked to the percentage of capital invested
61.1.h) "Fees applicable to investors and developers, contracting procedure and invoicing method."
This is the fee corresponding to the mediation in the commercialization process of the property.
It may be charged by the external collaborating agent, the developer, or the manager, it affects the total amount to be financed and it is included in the project costs; therefore, it is indirectly covered by the investors.
It is paid at the time of the sale of the property and the resources obtained from it are used for this purpose. The estimated fee is 5 %
This is the fee charged by wecity as long as the requested financing amount is successfully reached. In this case it is 4 %. If the requested financing amount is not reached, wecity does not charge any fee.
Once the campaign is finished and as a previous step to the transfer of the money to the developer/manager, it is deducted in favor of wecity. It affects the total amount to be financed and it is included in the project costs; therefore, it is indirectly covered by the investors.
This is the fee charged by Lemonway for payment processing (payment gateway). In this case it amounts to 1% as the total of all the concepts.
In the event that the campaign is not successful and the money has to be returned to the investors, they retrieve it in full.
Lemonway charges for each monetary transaction. In other words, when you invest in the project (whether the campaign is successful or not), when dividends are collected, when the return of capital is deposited and when the profits from the sale are distributed. Therefore, the payment gateway has an impact on the final profitability obtained by the investors and is indirectly financed by them.
This is the fee charged by the manager for the running of the company operating the project. There is no management fee in this case.
This is the fee charged by the manager only if the project is completed at a higher profitability rate than the one estimated in the Business Plan. In this case, it consists of 100% of the excess profitability at the start of the project.

61.1.i) Measures adopted to avoid any conflict of interest.
wecity.io invests in this opportunity under the same conditions as the rest of the investors and informs that its participation and that of the administrators, senior executives and partners with a significant share in participative financing, as well as that of their spouses or persons with whom they live in an analogous affective relationship, and of any relatives up to the second degree of consanguinity or kinship, shall be 2.5%.

61.1.j) "Information about the procedures and systems established by which the investors' funds will be delivered to the developer and by which the investors will receive the returns on the invested capital and, when there is any intermediation in the payments, the name of the entity authorized to provide such service and its registration number."

The developer never accesses the money until the legal compliance requirements established by the CNMV are met. Meaning that your money is protected in an escrow account which the developer cannot access.

According to current legislation, “investors are a number of individuals or legal entities that offer financing in exchange for a monetary return and may be both accredited and non-accredited."
This differentiation sets the limits for wecity users. If you are a non-accredited investor, you have an investment limit of 3,000 euros per project and 10,000 euros (including other participatory financing platforms); while if you are an accredited investor, you have no investment limit.
Can I invest if I am a foreigner?
Yes We just need you to complete the registration and investment process and provide a NIE (Identification Number for Foreigners)
How much can I invest?
Each developer specifies the minimum investment in each project.
Keep in mind that the maximum investment for non-accredited investors is 3,000 euros and that there is no limit for those who are accredited. Where does my money go?
The capital you deposit in your wecity account is held in a segregated bank account of Banco Sabadell, opened by the Payment Entity Lemon Way, a company registered as a Community Payment Entity operating in Spain by the Bank of Spain.
Lemon Way will provide you with an electronic wallet where you will be able to see the status of your capital at any time. This reduces risk as the funds are kept in a safe place while the investment opportunity reaches its funding target. Once the target is reached, the funds are transferred to the developer for execution. See the Investor Security and Protection section for more information on our security measures.
What do I invest in?
In crowdequity real estate opportunities, that is, in investment opportunities involving a capital increase of the company proposing the real estate project.
You will be able to invest in real estate through the purchase of shares of the public or private limited companies owning the assets. Like this, investors can leave the real estate purchase and management in the hands of professionals of the sector.
This way of working will allow you to distribute the capital you want to invest among those real estate projects that seem interesting to you.
What does estimated total yield mean?
It is the profitability an investor expects to obtain from each investment opportunity, the real return may be higher or lower than the estimated one.
What does estimated time frame mean?
It is the period of time planned from the beginning of the business plan, once the financing has been received, until the successful completion of the project by the developer (almost always the sale of the property).
What happens if the property is sold before the time frame?
The sponsor's goal is to reach the returns set out in the Business Plan. If the property is sold before the estimated deadline, it is because the sponsor has reached the target set in a shorter period of time than initially expected.
What happens if an opportunity is not 100% financed?
wecity will return 100% of the invested capital, without charging commissions, and will reimburse the upfront provision of funds to the developer that has not been used up to that moment if:
The investment project does not cover at least 90% of the target.
wecity identifies the existence of false, incomplete or outdated data in the investor's registration information available to Wecity at any given time or in the information provided during the registration process of a project.
What is Lemonway?
Lemonway is an external payment entity that safeguards and manages our investors' funds with maximum security. In this regard, the capital contributions are not deposited in a wecity account, but in an account created by you in the payment entity. In addition, each project will have its own account, separated from the others so that whatever happens in one project cannot affect the rest.
Lemonway is a regulated payment entity that is in charge of managing all the fund movements of wecity users, and of most of the crowdfunding entities in Spain.
Remember that your money will be totally segregated from our accounts and under the custody of a regulated entity authorized by the Bank of Spain.
